Winston & Strawn represented Oben Group, a plastic film producer in the Americas, in connection with a $42 million private placement of debt securities to institutional investors. Winston & Strawn acted as U.S. special counsel to the issuers from Colombia, México and U.S. in connection with the issuance and sale of its 7.25% senior notes due March 5, 2025 to certain purchasers under the note purchase and guarantee agreement dated March 5, 2035. The notes were guaranteed by the Peruvian and Spanish parent holding companies of the co-issuers, respectively, as well as five subsidiaries of Oben Group in Peru, Chile, Colombia, Portugal and Brazil. The notes were issued pursuant to Section 4(a)(2) under the Securities Act of 1933. The transaction was executed as a club deal to a limited group of institutional investors.
The transaction marks the debut of Oben Group in the U.S. private placement market and its first-ever cross-border capital markets financing involving eight different jurisdictions, including the U.S., Peru, Mexico, Colombia, Chile, Spain, Portugal and Brazil.
