Richelle Kalnit, an industry veteran, launched independent advisory boutique Silhouette Advisors to help clients navigate sales under Article 9 of the Uniform Commercial Code and monetize intangible assets of all types. Kalnit combines more than 20 years of experience as a financial restructuring attorney and strategic advisor with notable success leveraging deep asset and process expertise to develop custom solutions on sell-side and buy-side engagements.
Widely recognized as an Article 9 expert, Kalnit pioneered the development of an unparalleled commercially reasonable sale process under the UCC. Her Declaration of Commercial Reasonableness, delivered at the conclusion of each sale, has been a critical part of driving successful outcomes in countless situations when she has served as third-party agent to foreclosing secured lenders.
Silhouette Advisors also brokers the sale and purchase of intangible assets, including trademarks and brands, software, patent portfolios, data, domain names and digital assets, and digital and physical media archives in the context of bankruptcy proceedings, Article 9 public sales, receiverships, assignments for the benefit of creditors, and out-of-court winddowns. In addition, the firm crafts strategies in connection with corporate carve-outs and divestitures of non-core assets.

Before founding Silhouette Advisors, Kalnit served as chief commercial officer of an advisory firm specializing in IP disposition and valuation. She previously spent nearly a decade in the restructuring group at Cooley and began her legal career at King & Spalding.
Kalnit recently served as co-chair of the 2026 Turnaround Management Association’s Distressed Investing Conference, the organization’s flagship conference. Her writing on Article 9 sales and intangible asset transactions has been published in The Secured Lender, ABI Journal, the Journal of Corporate Renewal and ABF Journal, and she is a recognized voice on the increasing impact of artificial intelligence on asset value, monetization and risk.
