Asset-based lenders had a week that rewarded borrowers with clean collateral and punished those without it. Wells Fargo doubled Five Below’s ABL revolver to $450 million and pushed maturity to October 2031,1 while the same bank extended Shoe Station Group’s $100 million revolver to 2031 at Adjusted Term SOFR plus 100–200 basis points with the 10-basis-point credit spread adjustment eliminated.2 At the other end of the risk spectrum, Cumulus Media emerged from Chapter 11 on October 16 with a new $100 million ABL agented by Fifth Third at SOFR plus 150–200 basis points,5 whereas Leslie’s — in Chapter 11 since September 30 — is carrying an ABL DIP at SOFR plus 325 beside a term DIP at SOFR plus 650 with a 9.5% upfront premium.6 Independent-lender capacity also moved: Bank of America led $650 million of facilities that replaced a MidCap Financial agreement at Accelevation,3 and Capital One helped lift CPS’s warehouse line to $518 million.4
The macro backdrop leaned against floating-rate borrowers. September CPI rose 0.6% on the month and 3.7% year over year, with core at 2.6%, pushing the odds of an October hike up before they faded again; the funds rate sits at 3.75%–4.00% after September’s quarter-point increase.12 Fed Chair Kevin Warsh declined to signal a move on Friday, and markets price roughly an 89% chance of a December hike.13,14 With the 10-year Treasury near 5.10% and the S&P 500 down 2% on the week,14 the all-in cost of floating-rate revolvers is rising even as ABL spreads hold in a tight band — a combination that makes collateral quality and borrowing-base discipline the decisive variables for the middle market.
Wells Fargo Doubles Five Below to $450 Million and Extends Shoe Station to 2031 as Big-Bank Revolver Capacity Stays Open for Retailers
Five Below amended its senior secured ABL revolver on October 14, raising commitments from $225 million to $450 million, lifting the letter-of-credit sublimit from $20 million to $50 million, and extending maturity from September 2027 to October 14, 2031, with Wells Fargo as agent.1 The company described the purpose as enhancing liquidity and extending its maturity profile; pricing was not disclosed in the filing summary.1
One day later, Shoe Station Group amended and restated its $100 million revolver with Wells Fargo, extending maturity to October 15, 2031. Pricing steps between Adjusted Term SOFR plus 1.00% and 2.00% (base rate plus 0.00%–1.00%) on leverage, the 0.10% SOFR credit spread adjustment was removed, and the unused fee runs 0.20%–0.30%. Borrower-friendly changes included a $40 million annual restricted-payment basket, capacity for $35 million of debt secured by the headquarters, and permitted sale-leasebacks.2
For ABL and revolving-credit lenders, the pairing shows that five-year tenors, doubled commitments and covenant loosening remain available to retailers with predictable inventory turns. The pressure point is documentation: sale-leaseback permissions and real-estate-secured debt baskets carve collateral and priority out of the borrowing base, and field-exam teams should map them carefully.
Fifth Third’s Cumulus Exit ABL Prices at SOFR+150–200 While Leslie’s DIP Shows the Cost of Distress
Cumulus Media became effective on its Chapter 11 plan on October 16, closing a $100 million ABL maturing October 16, 2030 with Fifth Third Bank as agent. The revolver prices at adjusted Term SOFR (0% floor) plus 1.50%–2.00% — or base rate plus 0.50%–1.00% — based on excess availability, carries a 0.25%–0.50% commitment fee, tests a 1.0x monthly fixed charge coverage ratio, and has a springing maturity 90 days ahead of the maturity of certain other material debt, including the new $50 million 10%/8% senior secured PIK toggle notes due 2031. Old equity was cancelled.5
The contrast with Leslie’s is instructive. Its $225 million ABL DIP, held by existing lenders Bank of America and U.S. Bank, prices at Term SOFR plus 3.25% with a 0.50% upfront fee and a creeping roll-up of roughly $50 million of prepetition revolver loans, while the $90 million term DIP carries SOFR plus 6.50% PIK, a 9.5% upfront premium and a 7.0% backstop fee.6,7 Spread on the ABL tranche is roughly 125 basis points wider than the top of Cumulus’s exit grid, yet far inside the term piece — the market’s verdict on first-lien liquidity-backed collateral.
For secured lenders, the takeaway is that a well-structured ABL remains the cheapest and most defensible paper in a restructuring, whether it is rolled up in a DIP or refinanced at exit. Lenders underwriting stressed credits should model the DIP roll-up and availability triggers on day one.
Accelevation Swaps MidCap for Bank of America and CPS Adds Capital One Capacity as Lender Supply Shifts Upmarket
Accelevation Holdings entered $650 million of senior secured facilities on October 9 — a $250 million term loan and a $400 million revolver, with $150 million drawn on the revolver at closing — led by Bank of America and maturing October 9, 2031. The facilities terminated and replaced its January 2025 agreement with MidCap Financial Trust.3 Pricing was not disclosed in the summary.3
On the receivables-finance side, Consumer Portfolio Services lifted its Capital One warehouse line from $390 million to $518 million on October 9, secured by dealer-acquired auto receivables; the line revolves through October 17, 2027, after which CPS may repay in full or amortize over 18 months, and total CPS credit capacity now exceeds $1.026 billion. CEO Charles Bradley said the increase “directly supports the continued growth of our lending programs.”4 Separately, fintech lender Fundfi closed a senior secured credit facility with an unnamed institutional asset manager, with Brean Capital as placement agent; size was not disclosed.17
For independent ABL lenders, the Accelevation outcome is a reminder that growth borrowers graduate to bank-led structures once they scale, so retention depends on speed, flexibility and willingness to hold through a borrower’s growth phase.
The RealReal Takes Fortress at SOFR+575 and StubHub Reprices at SOFR+450 as Secured Refinancings Cut Cost of Capital
The RealReal announced on October 15 a $150 million senior secured term loan and $25 million revolver from funds managed by Fortress Investment Group, priced at SOFR plus 5.75% cash-pay with a leverage-based step, maturing October 2033 and replacing its 13.00% all-in 2029 senior secured notes (8.75% cash plus 4.25% PIK). Management projects about $4 million in first-year interest savings.9 CFO Ajay Gopal called it “a key milestone in our plan to strengthen our balance sheet.”9
StubHub on October 14 extended its term loans to October 2033, upsizing the dollar tranche by $171 million to $975 million at SOFR plus 450 basis points and cutting the euro tranche to €300 million at EURIBOR plus 475, a 25-basis-point improvement. The company has repaid $1.1 billion of debt over twelve months.10 In software, Tenable closed a $400 million senior secured revolver with JPMorgan on October 13, maturing 2031 with a springing maturity, which, together with a September convertible note financing, completes the refinancing of its prior term loan B and a revolver that matured in July.11
The common thread is that borrowers with improving credit stories are using cash-pay secured structures to retire PIK-heavy or near-dated paper. ABL and cash-flow lenders alike should expect more refinancing requests that trade tenor for tighter pricing.
Leslie’s Committee Formed and Final DIP Hearing Looms as ABL Lenders Hold the Best Seat
The U.S. Trustee appointed a seven-member Official Committee of Unsecured Creditors in Leslie’s Chapter 11 cases on October 14; the debtor’s plan would cut funded debt by more than $687 million through a debt-for-equity exchange and new financing.8 The interim DIP order, entered October 1 by Judge Alfredo Pérez, allows a creeping roll-up of prepetition ABL obligations with full roll-up on final approval, and ABL lenders agreed to drop a $25 million restructuring reserve.7
Objections to the final DIP are due October 20, the final hearing is set for October 27, and the plan timeline calls for confirmation within 100 days of filing.7 Equity is expected to be cancelled, and Nasdaq trading was scheduled to be suspended October 6.6
For secured lenders, the committee’s formation raises the probability of challenges to lien perfection and roll-up terms. Lenders should confirm their documentation and collateral verification now, before the final hearing.
Hot September CPI Revives Hike Odds as Warsh Withholds Guidance
September CPI rose 0.6% month over month and 3.7% year over year (from 3.4% in August), while core CPI rose 0.3% and 2.6% annually, above forecasts. The Fed funds range is 3.75%–4.00%, and the 10-year yield jumped above 5.27% after the release; October hike odds rose to about 43% per CME FedWatch before fading.12
At the IMF meetings in Bangkok on October 16, Chair Kevin Warsh said “I don’t prejudge meetings,” described “synchronous tightening in monetary policy” across central banks, and offered no guidance. Markets give about 72% odds the Fed holds October 27–28 and roughly 90% odds of a December increase. Officials are split: Williams said one more hike may be appropriate, while Bowman saw no pressing need.13
For floating-rate middle market borrowers, another 25 basis points would lift base-rate costs on every SOFR-linked revolver and term loan. ABL users should expect fixed-charge coverage tests to tighten at the margin and consider hedging before December.
AI-Led Selloff Sends S&P 500 Down 2% as Treasury Yields Retreat from 24-Year Highs
The Nasdaq fell 2.1% on Friday and 4.5% on the week, the S&P 500 dropped more than 1% Friday and 2.0% for the week, and the Dow gained 0.7% on the week. CoreWeave fell 12%14 as investors questioned whether heavily indebted AI data-center, software and chip companies can convert heavy capital spending into profits.15 The 10-year yield, which reached about 5.33% after CPI, finished near 5.10%; WTI closed at $101.35 on Middle East risk.14
For lenders, the AI-capex debt overhang is the new equity-market stress point, while higher oil costs squeeze transportation, packaging and distribution borrowers. ABL lenders should watch inventory valuations and availability in those sectors.
Curium–Lantheus Buyout Financing Shows the Large-Cap Leveraged Market Still Open at Scale
Banks led by JPMorgan and Jefferies are competing for roles on roughly $4.25 billion of senior secured term loan B debt and a multicurrency revolver backing Capvest-backed Curium’s takeover of Lantheus Holdings, a deal that could total about $8 billion; a $1.125 billion PIK piece has been arranged in advance, and the TLB is expected to syndicate broadly next year.16
The financing indicates that sponsors can still assemble large secured packages despite 5% Treasury yields. Middle market sponsors will watch how pricing clears, as it will anchor spread expectations for 2027 buyouts.
Items to Discuss in Your Monday Meetings
- Reaffirm Collateral Verification and Lien Perfection Discipline. With a creditors’ committee seated at Leslie’s and a final DIP hearing October 27, review perfection, field-exam and roll-up documentation across stressed ABL exposures. Confirm that availability blocks and reserves are documented the way they are modeled.
- Reprice Revolver Renewals Against This Week’s Benchmarks. Cumulus’s ABL at SOFR+150–200 and Shoe Station’s revolver at Adjusted Term SOFR+100–200 are the reference points for performing credits. Test whether current grids and the removal of credit spread adjustments are being demanded by borrowers in your pipeline.
- Scrutinize Sale-Leaseback and Real-Estate Debt Baskets. Shoe Station’s permitted sale-leasebacks and $35 million headquarters-secured debt show how collateral can leak from the borrowing base. Require clear priority and reserve treatment before approving similar baskets.
- Stress Floating-Rate Coverage for a December Hike. With about 90% odds of another increase and a 10-year near 5.1%, run fixed-charge coverage at plus 25 and plus 50 basis points. Flag borrowers within 0.2x of covenant levels.
- Prepare a Retention Plan for Graduating Borrowers. Accelevation’s move from MidCap to Bank of America shows the pull of bank-led structures. Identify growth borrowers nearing that threshold and offer structure or speed that banks cannot.
Conclusion
The week’s ABL narrative is one of divergence within a stable pricing band: Wells Fargo is doubling and extending revolvers for retailers, Fifth Third is pricing a post-bankruptcy Cumulus at SOFR+150–200, and Leslie’s lenders are leveraging first-lien control through a roll-up DIP, while the capacity shift from MidCap to Bank of America at Accelevation signals that growing borrowers keep migrating up the lender stack. Layered on top is a macro tape in which 3.7% inflation, a 5.1% 10-year and roughly 90% December hike odds raise base-rate costs even as spreads hold. The October 27 Leslie’s hearing and the October 27–28 FOMC meeting are the next tests; secured lenders that keep collateral discipline and pricing consistency will be best placed whichever way both resolve.
