Womble Expands Tax Capabilities in Baltimore

Timothy Wagner advises companies, business owners and investors on the tax dimensions of significant transactions, from mergers and acquisitions to venture capital and private equity investments.

Womble Bond Dickinson added Timothy Wagner to its Baltimore office as a partner in the corporate and securities practice group. Wagner advises companies, business owners and investors on the tax dimensions of significant transactions, from mergers and acquisitions to venture capital and private equity investments.

Much of Wagner’s practice centers on the tax aspects of sophisticated business transactions. He advises on the federal, state and international tax dimensions of mergers and acquisitions, corporate reorganizations, capital raises and entity formation, and he guides venture capital and private equity clients on structuring their investments efficiently. Business owners turn to Wagner when a significant transaction is on the horizon and early decisions will shape the tax outcome for years to come. Beyond any single deal, he provides the ongoing planning that keeps a company’s tax position sound as it grows and changes.

“Clients increasingly expect tax counsel at the center of a deal rather than at its edges, especially as transactions grow more complex and the stakes climb,” Matt Sweger, the firm’s corporate and securities practice group co-leader, said. “Timothy brings that kind of integrated tax judgment, along with real fluency in the sophisticated questions our clients are raising, and he strengthens what our corporate team delivers.”

Wagner also represents clients when tax disputes surface, handling federal and state audits and tax litigation and guiding clients through voluntary disclosure and the compliance issues that arise in both domestic and cross-border operations.

“Baltimore is full of companies and founders facing decisions where the tax stakes are highest, and they want a partner who can see around the next corner,” Newt Fowler, Baltimore office managing partner for Womble Bond, said. “Timothy gives clients here a tax lawyer of real depth, and his arrival reflects the growth we’re building in this office.”

Wagner’s practice also reaches into the novel tax questions raised by new industries and evolving business models, where the rules are often still taking shape.

“I read every transaction for the detail that will still matter years after the deal is done,” Wagner said. “Joining Womble lets me bring that discipline to a broader range of clients and to the full run of transactions that shape how a business grows.”

Wagner earned his LL.M. in taxation and his J.D., summa cum laude, from the University of Baltimore School of Law, and his B.A. from Johns Hopkins University. He joins Womble from Nelson Mullins Riley & Scarborough.
