Winston & Strawn represented MOZAYYX, the lead investor, in connection with Eightco’s announcement of the pricing and execution of a private placement involving the sale of approximately 171,232,877 shares of common stock at $1.46 per share, for expected aggregate gross proceeds of approximately $250 million, before deducting placement agent fees and other offering expenses.
The closing of the offering is expected to occur on or about Sept. 11, 2025, subject to customary closing conditions.
