B. Riley Securities Acts as Joint Lead Bookrunner in Bit Digital’s $150MM Convertible Notes Offering

B. Riley Securities’ investment banking team was led by Joe Nardini and Patrick Hanniford, and included Alex Wolodzko and Hayden Kickbush. Its capital markets team was led by Pat Pilouk, Jimmy Baker and Ryan Aceto, with Dawn Farrell and Forbes Aggabao.

B. Riley Securities, a middle market investment bank, served as joint lead book-running manager for Bit Digital’s public offering of $150 million aggregate principal amount of 4.00% convertible senior notes due 2030. The transaction included the underwriters’ full exercise of the overallotment option for an additional $15 million of notes, issued on the same terms and conditions.

Bit Digital intends to use the net proceeds primarily to purchase Ethereum and for general corporate purposes, including potential investments, acquisitions and other digital asset-related opportunities.

This marks the fourth transaction that B. Riley Securities has led or jointly led on behalf of Bit Digital, spanning M&A advisory, equity raises and now this timely convertible notes offering.
