B. Riley Securities, a middle-market investment bank and subsidiary of B. Riley Financial, served as advisor and placement agent to Transom Capital Group in connection with its acquisition of the professional division of Bose Corporation. B. Riley arranged financing by Blue Torch Capital in support of the acquisition.

Transom is an operations-focused private equity firm in the middle market with a deep track record of successfully executing corporate divestitures. The firm’s functional pattern recognition, access to capital and value creation process combine with its portfolio company’s industry expertise to create improved operational efficiency, significant top-line growth, cultural transformation and overall distinctive outcomes.

Bose Professional develops and distributes a wide range of commercial audio systems and conferencing solutions.

“Bose Professional’s tenure in the professional audio business, its standout product portfolio and customers, as well as its team dedicated to researching, engineering and delivering new and innovative products, made it a compelling business for us to bring into our portfolio,” Russ Roenick, founder and managing partner at Transom, said. “We are working closely with Bose to ensure business continuity for Bose Professional going forward, and we look forward to continued success for the business as an independent company.”

“We are extremely pleased to have helped Transom facilitate the acquisition of Bose Professional, particularly in this challenging credit environment,” Raj Sood, senior managing director and head of private capital advisory at B. Riley, said.

“This transaction highlights our ability to creatively structure each process in order to provide the most advantageous solutions for our clients,” Gayane Kirakosyan, managing director at B. Riley, said.

“Transom is an outstanding operations-focused investor with extensive experience acquiring corporate divisions and that experience was on display in their ability to execute on this carveout acquisition in a challenging market environment,” Clay Bryan, senior managing director in B. Riley’s Financial sponsors group, said. “We are very excited to have played a role in affecting the transaction.”

B. Riley’s deal team was led by Raj Sood and Gayane Kirakosyan and included Michael Stotz and Sid Chandrasekar.
