SSG Places $63MM Split Lien Debt Financing for Ox Industries

SSG advised the company in negotiating and securing a $30 million asset-based revolving credit facility from PNC Business Credit, alongside a $33 million term loan from Post Road Equipment Finance.

SSG Capital Advisors served as the investment banker to Ox Industries in the placement of a $30 million asset-based revolving credit facility secured by accounts receivable and inventory and a $33 million term loan secured by machinery and equipment. Simultaneously, the company closed a sale-leaseback on certain real estate. The combined facilities refinanced the company’s existing indebtedness and provided additional liquidity to support its future growth. The transaction closed in October 2026.

Facing the upcoming maturity of its existing credit facilities, the company sought to refinance its debt, simplify its capital structure and unlock incremental liquidity. SSG was retained to conduct a comprehensive financing process, drawing on its relationships across the cash flow, asset-based and equipment lending markets. The transaction required managing several highly interdependent components simultaneously: retiring the company’s existing senior credit facility, sizing a borrowing base to ensure sufficient availability at closing, addressing outstanding seller financing and coordinating a concurrent sale-leaseback of a corporate facility.

Following a competitive process that generated multiple term sheets, SSG advised the company in negotiating and securing a $30 million asset-based revolving credit facility from PNC Business Credit, alongside a $33 million term loan from Post Road Equipment Finance. The combined facilities maximized Ox’s borrowing capacity while providing the flexibility needed to support its long-term growth strategy.

Other professionals who worked on the transaction include:

  • Matt Brinker, Marc Skapof, Ryan E. Abrams and Matthew Carder of Royer Cooper Cohen Braunfeld, counsel to Ox Industries
  • Michael C. Graziano, Brett F. Rodos and Emily Osofsky of Blank Rome, counsel to PNC Business Credit
  • Richard J. Tannenbaum and Zackary D. Callarman of Reed Smith, counsel to Post Road Equipment Finance
