Law firm Winston & Strawn represented Mosaic Capital Partners, a private equity firm focused on employee ownership transactions in the lower middle market, in the closing of its second small business investment company (SBIC) fund, which raised approximately $205 million in total capital, including leverage.
Fund II will continue to target business services, niche manufacturing and consumer companies with $5 – $15 million of EBITDA through change-of-control transactions, including the creation of new Employee Stock Ownership Plan (ESOP) and Employee Ownership Trust (EOT) structures.
The Winston & Strawn team advising Mosaic Capital Partners was led by partner Alan Roth, along with associates Elizabeth Damaskos and Mike Domanico.
