B. Riley Securities (BRS), a middle market investment bank, acted as joint lead placement agent in connection with two private placement transactions for Sequans Communications. BRS acted as joint lead placement agent on a $195 million private placement and a $189 million convertible notes offering, resulting in total gross proceeds of approximately $384 million to the company. Net proceeds from these transactions will support the company’s Bitcoin treasury initiative.
Lowenstein Sandler acted as U.S. legal counsel and ARCHERS (AARPI) acted as French legal counsel to the company. Goodwin Procter acted as U.S. and French legal counsel to the placement agents. BRS’ team was led by Jimmy Baker and Ryan Aceto, and included Dawn Farrell, Pat Pilouk and Sam Cook.
