Blackstone, Ares, PSP and Thoma Bravo Credit Support Thoma Bravo’s Acquisition of Stamps.com

Thoma Bravo, a software investment firm, completed its acquisition of Stamps.com, a provider of e-commerce shipping solutions, for approximately $6.6 billion in cash. The acquisition was previously announced on July 9, and Stamps.com’s stockholders approved the transaction on Sept. 30.

Blackstone Credit, credit funds managed by Ares Management, PSP Investments Credit II and Thoma Bravo Credit provided debt financing for the transaction. J.P. Morgan Securities acted as exclusive financial advisor to Stamps.com and Proskauer Rose acted as its legal counsel. Kirkland & Ellis served as legal advisor for Thoma Bravo._x000D_

At completion of the acquisition, Stamps.com stockholders were entitled to receive $330 in cash for each share of Stamps.com common stock they owned. Stamps.com common stock has ceased trading on, and will be de-listed from the NASDAQ Global Select Market._x000D_
