Latham & Watkins added Rolaine Bancroft to its Washington, D.C. office as a counsel in the structured finance practice. Bancroft most recently served as chief of the Office of Structured Finance in the U.S. Securities and Exchange Commission’s division of corporation finance.

Bancroft’s broad practice spans complex structured finance, capital markets and securities compliance matters, including U.S. securities law compliance for securitization transactions and participants, policy advocacy for asset-backed securities offerings and compliance with rules applicable to statistical rating organizations and credit ratings of asset-backed securities.

“We’re delighted to welcome Rolaine to the firm,” Mandy Reeves, office managing partner of Latham & Watkins’ Washington, D.C. office, said. “Her extensive SEC experience and distinguished reputation in the structured finance arena will add significant firepower to our already market-leading D.C. regulatory team.”

Bancroft has held multiple roles during her 20-year career at the SEC, bringing particular insight into SEC reporting and disclosure obligations, having developed and overseen the Office of Structured Finance’s disclosure review program. During her tenure, Bancroft led several SEC rulemakings, most recently rules prohibiting certain conflicts of interest in securitization transactions, known as Rule 192. She has navigated complex regulatory and legislative landscapes, advised on policy development across multiple divisions, and participated in enforcement investigations. She also provided expert technical advice to congressional staff on matters related to securitization.

“Enhancing our team with Rolaine’s experience on the front lines of almost every recent regulatory change is a great addition to our practice,” Matt Hays, global co-chair of Latham’s structured finance practice, said. “Rolaine’s tremendous market reputation and unparalleled regulatory experience will perfectly complement our existing global team.”

“I am thrilled to join Latham, a firm renowned for its structured finance team, collaborative approach and integrated global platform,” Bancroft said. “The team consistently delivers exceptional results for clients across all types of organizations, and I am eager to contribute to its growth and ongoing success.”

Bancroft received her JD from American University’s Washington College of Law.
