Amelia Messa has joined the Dorsey & Whitney as of counsel in the Finance & Restructuring Group in Delaware.

Messa’s practice focuses on business transactions using Delaware alternative entities, including limited liability companies, partnerships (limited and general), and statutory trusts. She assists in all aspects of the operation of Delaware alternative entities, including advising on their formation, governance, reorganization, contract interpretation, fiduciary duties, and dissolution.

Prior to joining Dorsey, Messa practiced in the corporate group at Wilson Sonsini Goodrich & Rosati. She previously practiced for several years at Richards, Layton & Finger in Delaware.

“Amelia brings with her a wealth of Delaware entity expertise and is a great addition to Dorsey’s excellent corporate group,” noted Bill Stoeri, managing partner of Dorsey & Whitney. “She is a strong strategic fit with a number of our practice areas including M&A, private equity and the broader investment funds area.”
