Simpson Thacher represented Rhino Bondco in connection with its proposed acquisition of Rhiag Inter Auto Parts Italia.

The financing for the acquisition included a private offering of $287 million (€215 million) aggregate principal amount of 7.25% senior secured notes due 2020 and $267 million (€200 million) aggregate principal amount of floating rate senior secured notes due 2019, as well as a $100 million (€75 million) super senior revolving credit facility. The Simpson Thacher team also advised on the English law aspects of the equity arrangements.
