Morrison & Foerster announced that Martin P. Dunn joined the firm’s corporate finance practice as a partner resident in the Washington, D.C. office. Dunn is a 20-year veteran of the U.S. Securities and Exchange Commission, having served as deputy director and acting director of the SEC’s Division of Corporation Finance. Dunn joins Morrison & Foerster from the Washington, D.C. office of O’Melveny & Myers.

In his role with the SEC, Dunn supervised the Corporation Finance Division’s Offices of Chief Counsel, Chief Accountant, Mergers and Acquisitions, International Corporate Finance, Rulemaking, Small Business and Enforcement Liaison. He oversaw many of the SEC’s most significant initiatives on disclosure, governance and capital-raising, including implementing scaled disclosure and registration forms for small businesses, adopting plain English requirements for prospectuses, implementing the Sarbanes-Oxley Act, reforming the securities offering process and adopting revisions to Rule 144.

Dunn and Lynn built a close working relationship as SEC colleagues, and they have collectively been recognized as principal thought leaders in the area of securities law. Over the past several years, Dunn and Lynn have collaborated on numerous panels at securities law conferences, as well as serving as co-editors of the highly respected publication The Corporate Counsel, and as the hosts of a highly successful radio show podcast on www.thecorporatecounsel.net.

Dunn earned his J.D. from American University, Washington College of Law and his undergraduate degree from the University of Notre Dame. He is a member of the NASDAQ Listing Council, and a former adjunct professor in securities regulation at Georgetown University Law Center. He is ranked in Band 1 for securities regulation by Chambers USA, and has received numerous awards from the SEC, including the Capital Markets Award, Regulatory Simplification Award and Law and Policy Award.
